Sennote Methodology Confidentiality and Restricted Use Agreement
Version: 1.0
Effective date: 13 August 2026
Last updated: 13 August 2026
This Sennote Methodology Confidentiality and Restricted Use Agreement (Agreement) is between Sennote Limited, company number SC897954 (Sennote), and the individual accepting it (User).
This Agreement supplements the Sennote Terms and Conditions. The User must accept it before accessing non-public Sennote methodology materials. If the User accesses Sennote through a Business Customer, the User accepts this Agreement personally even though the Business Customer may pay for access.
1. Purpose
Sennote gives authorised professionals limited access to a proprietary way of selecting, arranging, sequencing and structuring sensory wine-tasting information through the Service. Sennote permits that access so the User can conduct and record professional sensory tastings using Sennote, while protecting the confidential implementation from copying, disclosure and competitive reuse.
This Agreement is a confidentiality and restricted-use agreement. It is not an employment non-compete and does not prevent the User from continuing to work in the wine industry.
2. Sennote Methodology
Sennote Methodology means Sennote's non-public:
- selection, arrangement and sequencing of sensory parameters, questions and descriptors;
- taxonomies, field relationships, scoring logic and decision structures;
- templates, stages, workflows and report structures;
- mapping of professional concepts into screens, controls, forms and generated outputs;
- template labels, explanatory text, documentation and training materials;
- combinations, adaptations and future versions of the above; and
- related know-how that Sennote identifies as confidential or that a reasonable professional would understand to be confidential from its nature and the circumstances of access.
The Sennote Methodology does not include the User's Professional Content, observations, client information or pre-existing professional know-how.
3. Confidentiality exclusions
Information is not confidential under this Agreement to the extent the User can demonstrate with contemporaneous evidence that it:
- was publicly available without breach of this Agreement or another confidentiality duty;
- was lawfully known to the User without restriction before access through Sennote;
- was received lawfully from an independent third party without a duty of confidence; or
- was independently developed without access to or use of the Sennote Methodology.
A combination of public elements may remain confidential where Sennote's particular non-public selection, arrangement, sequencing or relationship between those elements is not public.
4. Permitted use
The User may:
- access and apply the Sennote Methodology through the Service for the User's own lawful professional sensory-tasting work;
- create, use and provide Sennote-generated reports to clients for their intended professional purpose;
- use the User's own Professional Content and sensory observations independently of Sennote; and
- apply general wine knowledge, sensory skills and professional experience that do not disclose or reproduce the Sennote Methodology.
No other licence or permission is granted.
5. Restricted conduct
The User must not, directly or indirectly:
- disclose the Sennote Methodology to anyone who is not an authorised Sennote User with the same confidentiality obligation;
- copy, photograph, record, transcribe, scrape, export or systematically capture methodology materials except where a Service feature expressly permits it for the intended professional purpose;
- publish, distribute, sell, license, teach or otherwise make the Sennote Methodology available outside the Service;
- reproduce, reconstruct or implement the Sennote Methodology in spreadsheets, forms, software, documentation, training or another system outside Sennote;
- use the Sennote Methodology to create, commission, advise, test, validate, improve, market or operate a competing product, service, template, workflow or commercial methodology;
- remove or obscure a confidentiality, copyright or proprietary notice; or
- help another person do any of the above.
A generated report may be used and shared as permitted in section 4, but it must not be used, alone or with other reports, to reconstruct or disclose the Sennote Methodology.
6. Required disclosure
If law, a court or a regulator requires disclosure, the User may disclose only the minimum legally required. Where lawful, the User must give Sennote prompt written notice and reasonable assistance so Sennote can seek confidential treatment or another protective measure.
7. Ownership and limited licence
Sennote and its licensors own or lawfully control the Sennote Methodology and its protected expression, selection, arrangement, software, database structures, interface implementation and documentation.
Sennote grants the User a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the Sennote Methodology only as stated in section 4 and only while the User is authorised to use the Service.
No implied licence, ownership transfer or right to create a derivative or competing methodology is granted.
8. Duration
This Agreement begins when the User accepts it.
The use restrictions apply while the User has access to the Service and for five years after access ends. The confidentiality obligations continue for five years after access ends and, for information that remains a legally protected trade secret, for as long as it retains that status under applicable law.
Termination does not authorise the User to retain methodology materials. On request, the User must delete copies not contained in permitted professional reports, except where law requires retention.
9. Breach and remedies
The User acknowledges that unauthorised disclosure or competitive reuse may cause harm that is difficult to compensate with money alone. Subject to applicable law, Sennote may seek an injunction or similar protective order in addition to damages and other available remedies.
Sennote may suspend or terminate access where it reasonably believes this Agreement has been materially breached. Suspension does not determine final liability and will follow the notice provisions in the Terms where appropriate.
10. No restriction on professional work
Nothing in this Agreement prevents the User from:
- practising as an oenologist, consultant, winemaker or other wine professional;
- performing sensory tastings without Sennote using the User's general knowledge and independently developed methods;
- using information belonging to the User, their employer or client; or
- developing a method independently without using or relying on the Sennote Methodology.
This Agreement protects Sennote's particular non-public structure and implementation; it does not claim ownership of general wine knowledge, facts, sensory concepts or the User's skill and experience.
11. General
The Sennote Terms and Conditions govern notices, assignment, severability, waiver, third-party rights, governing law and disputes under this Agreement. If there is a conflict, this Agreement prevails only for confidentiality and permitted use of the Sennote Methodology.
No amendment that materially expands the restrictions applies retrospectively without fresh notice and acceptance.
12. Acceptance
By selecting “I agree to the Sennote Methodology Confidentiality and Restricted Use Agreement”, the User confirms that they:
- have read and understood this Agreement;
- accept it personally;
- understand that access is provided only for professional use through Sennote; and
- will not disclose, reproduce or competitively reuse the Sennote Methodology.
Sennote should retain evidence of the User identifier, Agreement version, acceptance text, date, time and applicable Terms version.
